Shareholder's agreements

Their legal status is that of plurilateral agreements with a common purpose, which can be identified in the “stabilisation of the ownership structure” of an S.p.A. (joint-stock company), or its control. Therefore, they are shareholder agreements based on which a common behaviour is established to influence company life. They merely have a mandatory effect; therefore, their effects are valid only between the subscribers and not towards third parties. Traditionally, there are three types: voting syndicates, with which the shareholders agree in advance for a uniform vote in the Shareholders’ Meeting; blocking syndicates, which limit the transfer of shares to third parties; and acquisition syndicates, through which the acquisition of shares is agreed.
